Employee Non Competition Agreement

THIS AGREEMENT IS MADE on the [Enter Day] day of [Enter Month] , year [Enter Year]

BETWEEN:
(1) [Enter Company Name] (the ‘Company’); and
(2) [Enter Employee's Name] (the ‘Employee’).

NOW IT IS HEREBY AGREED as follows:
In consideration for the employment of the Employee by the Company the parties agree as follows:

1. The Employee hereby agrees not directly or indirectly to compete with the business of the Company and its successors and assigns during the period of employment and for a period of [Enter Time Period] following termination of employment and notwithstanding the cause or reason for termination or redundancy.

2. The phrase ‘not compete with the business of’ as used herein shall mean that the Employee shall not own, manage, operate, act as consultant to or be employed in a business substantially similar to and in competition with any business of the Company of which the Employee had detailed and material knowledge.

3. The Employee acknowledges that the Company shall or may in reliance of this agreement allow the Employee access to trade secrets, customers and other confidential data and that the provisions of this agreement are reasonably necessary to protect the Company and its goodwill. The Employee agrees to retain this information as confidential and not to use the information on his or her own behalf or disclose the same to any third party.

4. This agreement shall be binding upon and inure to the benefit of the parties, their successors and assigns.
